The terms "us", "we", and "our" refer to Nova IQ, LLC, the owner of this website and mobile application, collectively called "Website Services."

A "USER" is someone who browses our website or has registered to access services provided by professionals listed on our platform. A Service Professional ("PRO") is someone who has signed up to offer their professional services through Nova IQ.

All text, information, graphics, design, and data offered through our website, whether produced by PROs, Users, or us, are collectively known as our "Content." Content posted by our PROs is referred to as "PRO Content."

As a Visitor, User, Member, or PRO, you agree to fully comply with and be bound by the following Agreement each time you use our Website Services.

This Agreement is between you and Nova IQ. THIS AGREEMENT CONTAINS WARRANTY DISCLAIMERS AND OTHER PROVISIONS THAT LIMIT OUR LIABILITY TO YOU.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. USING, ACCESSING, AND/OR BROWSING OUR WEBSITE CONSTITUTES ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, PLEASE EXIT OUR WEBSITE IMMEDIATELY.

This Agreement supersedes all prior agreements, representations, and warranties with respect to our website. For you to use our Website, you may also be required to agree to additional terms, which will be incorporated into this Agreement unless otherwise stated.

Our Privacy Notice is considered part of this Agreement. Please review our Privacy Policy for full details on how we collect, use, and protect your information.

Any legal controversy or claim arising from this Agreement and/or our Website Services — excluding legal action taken by us to collect damages or obtain injunctions relating to intellectual property — will be settled solely by binding arbitration under the commercial arbitration rules of the American Arbitration Association.

Any such controversy or claim will be arbitrated on an individual basis and will not be consolidated with any other party’s claim. The arbitration will be conducted in Miami, Florida. Each party will bear half the arbitration fees and costs.

This Agreement is governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction and venue of courts in Miami, Florida.

Any cause of action by you with respect to our Website Services must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

Nova IQ grants you a nonexclusive, nontransferable, revocable license to access and use our Website Services strictly in accordance with this Agreement. Your use is solely for internal, personal, noncommercial purposes unless otherwise provided for in this Agreement.

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of our Website Services and any software provided therein.

This Agreement in no way creates any agency, partnership, joint venture, or employee-employer or franchisor-franchisee relationship between you and Nova IQ.

Our Website Services may contain our service marks or trademarks as well as those of our affiliates or other companies. Your use of our Website Services does not constitute any right or license for you to use our service marks or trademarks without the prior written permission of Nova IQ.

Our Content is protected under United States and foreign copyrights. The copying, redistribution, use, or publication by you of any such Content is strictly prohibited. Your use of our Website Services does not grant you any ownership rights to our Content.

To use our Website Services, you must register to become a USER/Member or PRO. Membership is not transferable or assignable and is void where prohibited. Our Website Services are intended solely for individuals who are at least eighteen (18) years of age or older.

Any registration by, use of, or access to our Website Services by anyone under that age is unauthorized and in violation of these Terms. Nova IQ has sole discretion to determine whether to accept a Member and may reject a registration with or without explanation.

You agree to maintain the confidentiality of your password and are fully responsible for all activity that occurs through the use of your account credentials.

We do not warrant that our Website Services will be error-free or free from viruses or other harmful components. We do not warrant that information available on or through our Website Services will be correct, accurate, timely, or otherwise reliable.

Nova IQ reserves the right at our sole discretion to change any content, software, and other items used or contained in our Website Services at any time without notice.

Our Website Services publish content supplied by third parties, Users, PROs, Advertisers, Merchants, and Sponsors. Nova IQ has no editorial control over such content and does not guarantee its accuracy, completeness, merchantability, or fitness for any particular purpose.

We do not operate or control the products or services offered by a third-party PRO. You agree that use of or purchase from such a PRO is AT YOUR SOLE RISK AND WITHOUT WARRANTIES OF ANY KIND BY US.

Nova IQ is not responsible or liable in any manner for any Content posted on our Website Services, whether posted by a PRO, Member, or by Nova IQ. Nova IQ is not responsible for the online or offline conduct of any User or PRO of our Website Services.

OUR WEBSITE SERVICES ARE PROVIDED "AS-IS," "AS AVAILABLE," WITH "ALL FAULTS," AND ALL EXPRESS OR IMPLIED WARRANTIES ARE DISCLAIMED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NOVA IQ HAS NO LIABILITY WHATSOEVER FOR YOUR USE OF OUR WEBSITE SERVICES.

IN NO EVENT WILL NOVA IQ OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES FROM YOUR USE OF OUR WEBSITE SERVICES, EVEN IF NOVA IQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOVA IQ’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR WEBSITE SERVICES ACCESSED DURING THE PREVIOUS MONTH OF YOUR MEMBERSHIP PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

PROs/Members may post content through our Website Services. Nova IQ is not responsible for monitoring PRO Content. Should any content be found illegal, Nova IQ will submit all necessary information to relevant authorities.

If PRO/Member Content is reported as offensive or inappropriate, we may ask the PRO/Member to retract or modify the content within 24 hours. Failure to comply may result in immediate membership termination without notice.

As a PRO/Member, you agree NOT to post or transmit content that:

• Violates any local, state, federal, or international laws
• Harms, threatens, defames, or promotes violence or illegal activities
• Links to materials to which you do not have a right to link
• Contains private information of any third party without authorization
• Contains software viruses or malicious code
• Is used to develop competing services or reverse-engineer our platform

By posting PRO Content to our Website Services, you grant Nova IQ a license to use, distribute, copy, transmit, publicly display, reproduce, translate, edit, and reformat that content in connection with the operation of Nova IQ’s business.

You will not be compensated for any PRO Content. By posting, you warrant and represent that you own the rights to the content or are authorized to post and distribute it.

We reserve the right to investigate reported violations of this Agreement and take any action we deem appropriate, including reporting suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

You represent and warrant that if you are subscribing to our Website Services: (i) any payment information you supply is true and complete; (ii) charges incurred by you will be honored by your bank or credit card company; (iii) you will pay the charges incurred at the posted prices, including any applicable taxes; and (iv) if your initial payment method is dishonored, you will still pay the incurred charges, including any surcharge we may incur due to the dishonored payment.

We do not offer any refunds. All sales are final. You may cancel your membership at any time, and access will continue through the end of your current billing period.

Your PRO or USER membership is effective until terminated by you or us. Your rights under these Terms will terminate without notice if you fail to comply with any term of these Terms and Conditions. Upon termination, you will stop representing yourself as a registered User or PRO and must delete or destroy any information or content obtained from our Website Services.

Provisions including copyrights, indemnity, trademarks, limitation of liability, warranty, and jurisdictional clauses survive termination of this Agreement.

You agree to indemnify, defend, and hold Nova IQ and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, attorneys, advertisers, product and service providers, and affiliates free from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of our Website Services.

Should any part of this Agreement be held invalid or unenforceable, that portion will be construed consistent with applicable law and the remaining portions will remain in full force and effect. Our failure to enforce any provision of this Agreement will not be deemed a waiver of such provision.

This Agreement constitutes the entire agreement between you and Nova IQ and supersedes all prior communications and proposals, whether electronic, oral, or written. Nova IQ reserves the right to revise this Agreement at any time by updating this posting. You are bound by any such revisions and should periodically review this page for the current terms.
